Thursday, June 28, 2012, AS Latvijas Naftas Tranzits held a shareholders meeting, electing a new Supervisory Council. The meeting took place in Ventspils, Dzintaru Street 41.

Rudolf Meroni was elected Supervisory Council Chairman, while Arita Linde, Aivars Gobins and Gints Laivins Laivenieks were appointed Supervisory Council members. The newly appointed Supervisory Council then elected David Anstis, Alvis Haze and Janis Haze into the new Management Board.

Thus, June 28 shareholders meeting dismisses Management Board member Aleksejs Ovods, who is an associate of the millionaire Olegs Stepanovs. His claims of being Latvijas Naftas Tranzits Management Board member blatantly violate the Commercial Law.

The company’s shareholder SIA Ventrans has already notified the State Police of illegal and fraudulent activities carried out by Ovods. Allegedly, he appropriated about 100 000 lats (56 000 dollars), which he transferred to his bank account, says Rudolf Meroni, AS Latvijas Naftas Tranzits Supervisory Council Chairman. Besides, Meroni has a reason to believe that Ovods has carried out more unlawful acts directed against the legitimate AS Latvijas Naftas Tranzits and Ventbunkers officials.

The absurd ruling made by Riga District Court judge Juris Freimanis on June 5 has been interpreted in the media in favour of Olafs Berkis and Stepanovs. However, decisions taken in the only legitimate AS shareholders meeting held on June 28 will still be submitted to the Enterprise Register.

Rudolf Meroni draws attention to the fact that judge Freimanis’ ruling, which, according to certain false representatives of the company, bans from making any changes in AS Latvijas Naftas Tranzits Supervisory Council and Management Board, should be viewed solely as an unprecedented intervention of the court in the company’s internal matters.

Given that judge Freimanis’ ruling could not have been taken in full accordance with the Latvian laws, AS Latvijas Naftas Tranzits officials will ask the Riga Regional Court to revoke it.

Meroni also reminds that Berkis and Stepanovs got hold of power over Ventbunkers and its subsidiary AS Latvijas Naftas Tranzits unlawfully. They falsified documents and Ventbunkers shareholders’ register.
